Breakout Society Mentorship
TERMS & CONDITIONS
Effective Date: October 10, 2026
These Mentorship Terms & Conditions ("Terms") govern participation in the Breakout Society Mentorship ("Mentorship," "Program," or "Services").
These Terms are entered into between Breakout Society LLC, doing business as Breakout Society ("Breakout Society," "we," "us," or "our"), and the individual purchasing or participating in the Mentorship ("Participant," "you," or "your").
By checking the acceptance box during enrollment and completing your purchase, you confirm that you have read, understood, and agreed to these Terms.
1. PROGRAM PURPOSE
The Breakout Society Mentorship is an educational program that helps traders build a structured, disciplined, data driven, and independent trading process.
The Mentorship may cover trading concepts, setups, market behavior, trade review, execution, risk management, journaling, backtesting, psychology, and related subjects.
Breakout Society does not promise profitability, improved financial performance, or any particular trading result.
2. MENTORSHIP TERM
The active Mentorship period lasts 365 calendar days beginning on the date enrollment is completed and access is activated, unless Breakout Society confirms a different start date in writing.
Benefits identified as active Mentorship benefits end when the 365 day period expires. Resources specifically identified as Lifetime Resources remain available as described in Section 4.
3. ACTIVE MENTORSHIP BENEFITS
During the active Mentorship period, the Participant receives the benefits below.
3.1 One on One Mentorship Calls
The Participant receives four private mentorship sessions. Each session may last up to 90 minutes.
Calls may cover trade review, trading process, setup development, execution, risk management, psychology, journaling, backtesting, market concepts, educational material, and related questions.
All included calls must be used before the active Mentorship period ends unless Breakout Society agrees otherwise in writing. Unused calls have no cash value and do not automatically carry over.
3.2 Personalized Trade Reviews
Participants may submit selected trades for retrospective educational review. Reviews may cover setup quality, execution, entries and exits, risk management, process, mistakes, and areas for further study.
A trade review does not direct the Participant to enter, exit, hold, or change any current or future position.
3.3 Priority Questions and Support
Participants receive priority access for educational questions and feedback through channels designated by Breakout Society.
Priority support is not immediate or available 24 hours a day. It does not include emergency financial or trading support, and it ends when the active Mentorship period expires. Breakout Society may set reasonable support hours and response expectations.
3.4 Exclusive Lessons and Recordings
Participants may receive access to private lessons, recordings, classes, discussions, or similar material during the active Mentorship period. Access ends when the active Mentorship period expires unless a resource is specifically identified as a Lifetime Resource.
3.5 Additional Benefits
Breakout Society may add features, resources, classes, or benefits during the active Mentorship period. An addition does not require Breakout Society to provide every future product, program, software feature, community feature, or service to existing Participants.
4. LIFETIME RESOURCE ACCESS
Lifetime Resources include the Breakout Society trading notes and educational materials identified as lifetime materials at enrollment, the included Breakout Society Playbook, and the included Breakout Society Setup Dataset.
Updates or expansions to the specific Playbook and Setup Dataset included with the Mentorship are included at no additional charge while Breakout Society continues to maintain and offer those resources.
Lifetime Access applies only to resources specifically identified as lifetime resources. It does not include future mentorship programs, courses, software, AI tools, trading applications, unrelated datasets, subscription products, live services, coaching, additional calls, or other future offerings.
Breakout Society may change the platform, website, software, file format, or delivery method used for Lifetime Resources. A platform change does not end the Participant's access rights. "Lifetime" means for as long as Breakout Society LLC continues to maintain and offer the designated resource. It does not guarantee that any third party platform will remain available forever.
5. EDUCATIONAL PURPOSE ONLY
Breakout Society provides educational and informational content only. Nothing provided through calls, Discord, direct messages, trade reviews, livestreams, recordings, datasets, playbooks, notes, classes, charts, examples, or discussions is personalized financial, investment, legal, tax, or accounting advice.
Breakout Society does not determine whether any security, strategy, position size, or transaction is suitable for a Participant.
6. NO TRADING SIGNALS OR ACCOUNT MANAGEMENT
The Mentorship is not a signal or alert service. Breakout Society will not tell Participants what to buy or sell, provide required entry or exit instructions, manage accounts, exercise trading authority, place trades, hold Participant assets, or guarantee any setup or strategy.
Breakout Society may explain its own thought process, educational framework, and the factors it would examine in a historical, hypothetical, or live market example. It may also explain how a concept such as a PMH retest fits that framework. Breakout Society will not decide whether a Participant should take, hold, size, or exit a live trade.
When a Participant asks what they should do in a current trading situation, any response will explain the framework and relevant factors. The Participant must make the final decision based on their own plan, risk limits, and judgment.
Participants remain responsible for all trading decisions.
7. TRADING RISK
Trading securities and other financial instruments involves substantial risk. A Participant may lose some or all capital committed to trading.
Past performance, historical research, backtesting, statistics, examples, datasets, win rates, risk to reward calculations, and previously successful trades do not guarantee future results.
The Participant is solely responsible for deciding whether to trade, selecting securities and position sizes, determining entries and exits, managing risk and account exposure, understanding brokerage requirements, and accepting all profits and losses.
Participants should not trade capital they cannot afford to lose.
8. DATASET AND HISTORICAL RESEARCH
Breakout Society may provide historical research, backtesting data, setup statistics, observations, and proprietary research. This information may use assumptions or subjective classifications, may be corrected or updated, may not account for every market variable, and does not predict future performance.
Participants must reach their own conclusions before applying any research.
9. NO GUARANTEE OF RESULTS
Breakout Society makes no guarantee about profitability, income, returns, account growth, consistency, win rate, trading performance, employment, financial independence, or any other financial result.
Results achieved by Breakout Society, its representatives, Participants, community members, or other traders do not represent what any Participant will achieve. Results vary based on experience, discipline, market conditions, risk, execution, capital, strategy, and other factors.
10. PARTICIPANT RESPONSIBILITIES
Participants are responsible for scheduling and attending calls, reviewing materials, doing their own research and backtesting, maintaining their own journal, managing risk, asking questions, reviewing mistakes, and deciding whether and how to use anything learned.
Breakout Society is not responsible for a Participant's failure to use available Mentorship benefits.
11. ELIGIBILITY
The Participant confirms that they are at least 18 years old, have authority to enter this agreement, provided accurate enrollment information, and may lawfully participate in the Mentorship.
Breakout Society may reject an application before enrollment.
12. MENTORSHIP CALL SCHEDULING
Calls are scheduled subject to reasonable availability. Participants should schedule calls in advance.
A Participant may reschedule a call by giving at least 24 hours notice. A missed call, arrival that prevents meaningful use of the session, or cancellation with less than 24 hours notice may be counted as used. Breakout Society may make an exception for circumstances it considers reasonable.
Breakout Society may reschedule a call when necessary and will provide reasonable notice when possible.
13. PAYMENT
The Participant agrees to pay the price and follow the payment schedule shown and accepted during checkout.
Payments may be processed by Stripe, Klarna, or another payment provider. The Participant authorizes the selected provider to process payments under the terms shown at checkout. A payment provider may also have separate terms that apply to its services.
14. PAYMENT PLANS
If the Participant selects a payment plan through Stripe, Klarna, or another provider, the Participant remains responsible for the full purchase price unless applicable law or a written agreement with Breakout Society requires otherwise.
Failure to make a required payment may result in suspension of active Mentorship access until the account is current. Breakout Society may terminate access after a material payment default. Suspension or termination does not cancel amounts already owed under the accepted payment plan, except where applicable law requires otherwise.
15. REFUND POLICY
Because Participants receive immediate access to proprietary research, the Playbook, the Setup Dataset, digital resources, and personalized services, all sales are final and payments are nonrefundable once enrollment is completed.
Breakout Society will provide any refund or remedy required by applicable law. This policy does not allow Breakout Society to keep payment for services it fails to provide as promised when the Participant is legally entitled to a refund or other remedy.
The same refund policy must be displayed clearly before payment.
16. CHARGEBACKS AND PAYMENT DISPUTES
Participants should contact Breakout Society at the email in Section 39 to address a billing dispute before starting a chargeback.
Nothing in this section limits rights available under applicable law or payment network rules. Knowingly making a false statement to a financial institution or payment provider about an authorized purchase is a material violation of these Terms.
17. INTELLECTUAL PROPERTY
Breakout Society owns or licenses the content provided through the Mentorship, including datasets, playbooks, notes, videos, call recordings, lessons, spreadsheets, research, graphics, Discord content, presentations, website content, and the organization of those materials.
The Participant receives a limited, personal, nonexclusive, nontransferable, and revocable license to use included materials for their own educational purposes. Purchasing the Mentorship does not transfer ownership of Breakout Society intellectual property.
18. PROHIBITED SHARING AND REDISTRIBUTION
Without written permission, Participants may not resell, republish, copy, redistribute, upload, publicly display, or commercially use Breakout Society materials. Participants may not share paid resources with nonmembers, sell access, share individual accounts, or present Breakout Society research as their own.
Breakout Society may suspend or terminate access for a violation and may use other remedies available under law.
19. CONFIDENTIALITY OF PRIVATE MENTORSHIP MATERIAL
Participants may receive information in private calls or channels that is not intended for public distribution. Participants may not record, publish, redistribute, or commercially use private Mentorship communications without written permission.
Participants may keep personal notes about educational concepts they learn.
20. RECORDING OF CALLS
Breakout Society records Mentorship calls so Participants can rewatch them and so Breakout Society can identify recurring questions and improve the Mentorship.
Breakout Society will give clear notice before recording begins and will use the recording indicator provided by the call platform when available. A Participant who does not want a call recorded must say so before the recording begins. Breakout Society may stop the recording or reschedule the call using a format that both sides accept.
Recordings may be shared with the Participant who attended the call. Participants may not publish or share call recordings without written permission.
Breakout Society may keep recordings for as long as reasonably needed to provide access, improve the Mentorship, maintain records, and protect its rights. Recording practices will follow applicable law.
21. COMMUNITY CONDUCT
Participants must follow reasonable community rules. Breakout Society may restrict or terminate access for harassment, threats, fraud, intentional disruption, unlawful conduct, account sharing, impersonation, unauthorized distribution, or another material violation of these Terms.
22. DISCORD AND LIVE TRADING
Discord and live trading sessions are educational. Breakout Society may discuss market conditions, setups, levels, trade ideas, its own thought process, and what it is watching or doing.
Breakout Society will not issue buy or sell signals, tell a Participant to copy a trade, direct a Participant to enter or exit a position, or provide an alert that requires action. A Participant must apply their own trading plan and decide whether to trade.
If a Participant asks whether they should take a specific live trade, Breakout Society may explain the educational framework and factors it would consider. It will not make the decision for the Participant.
23. TESTIMONIALS, RESULTS, AND MARKETING
Breakout Society may review Discord discussions, feedback, reviews, testimonials, and trading results for internal research and to improve or market the Mentorship.
Breakout Society may use information in public marketing only when the use is truthful and not misleading. Identifiable names, Discord identities, account balances, profit and loss information, screenshots, recordings, testimonials, or personal stories require separate permission for the specific material being published.
Anonymized or aggregated information may be used without separate permission when it cannot reasonably identify a Participant.
A testimonial reflects one person's experience. Breakout Society will not present an unusual result as typical or make a performance claim that it cannot support. Any material connection between Breakout Society and the person giving a testimonial will be disclosed when required.
24. PRIVACY AND DATA USE
Breakout Society may collect and use information needed to enroll Participants, deliver the Mentorship, process payments, schedule calls, operate Discord and other platforms, respond to questions, improve the Program, maintain records, prevent misuse, and market the Program as allowed by Section 23.
This information may include contact details, Discord identifiers, enrollment and payment records, communications, submitted trades, journal information, call recordings, feedback, testimonials, and trading results voluntarily shared with Breakout Society.
Breakout Society may share information with service providers that help operate the Mentorship, including payment, scheduling, communication, storage, analytics, and AI tools. Breakout Society will limit sharing to what is reasonably needed for the service being provided.
Breakout Society will keep personal information only as long as reasonably needed for these purposes, legal obligations, dispute resolution, and protection of its rights. A Participant may request access, correction, or deletion by using the contact information in Section 39. Breakout Society will respond as required by applicable law.
25. THIRD PARTY SERVICES
The Mentorship may rely on Discord, Notion, Stripe, Klarna, video hosting, scheduling, email, AI, and other service providers. Those services may have separate terms and privacy practices.
Breakout Society does not control the continued operation of a third party platform and may substitute another platform when reasonably necessary.
26. SERVICE CHANGES
Breakout Society may reasonably change how the Mentorship is delivered, including platform migrations, Discord organization, scheduling, software providers, and replacement of obsolete delivery methods.
Breakout Society will not use this section to remove a material benefit promised to an enrolled Participant without providing a reasonably comparable replacement or another remedy required by law.
27. FUTURE PROGRAMS
This purchase does not include automatic access to future Breakout Society programs, courses, software, datasets, cohorts, communities, calls, support levels, or other offerings unless the enrollment page expressly says otherwise.
28. DISCLAIMERS
To the fullest extent permitted by law, Breakout Society provides the Services and resources as available and makes no warranty about trading outcomes, profitability, predictions, or financial performance.
Breakout Society does not guarantee that information will be error free, historical data will predict future outcomes, every setup will remain effective, every Participant will improve, services will always be uninterrupted, or third party platforms will remain available.
Nothing in these Terms excludes a warranty or right that cannot legally be excluded.
29. LIMITATION OF LIABILITY
To the fullest extent permitted by law, Breakout Society LLC and its owners, officers, contractors, and representatives are not liable for trading losses, lost profits, lost opportunities, loss of data, or indirect, incidental, special, consequential, or punitive damages arising from the Mentorship or a Participant's independent decisions.
Breakout Society's total liability arising from the Mentorship will not exceed the amount the Participant paid Breakout Society for the Mentorship.
These limits do not apply to fraud, willful misconduct, gross negligence, or any liability that cannot legally be limited.
30. INDEMNIFICATION
To the extent permitted by law, the Participant will reimburse Breakout Society LLC for third party claims, losses, and reasonable costs caused by the Participant's unlawful conduct, infringement of another person's rights, unauthorized sharing or commercial use of Breakout Society materials, or material violation of these Terms.
This section does not require the Participant to reimburse Breakout Society for Breakout Society's own fraud, willful misconduct, or gross negligence.
31. DISPUTE RESOLUTION
Before filing a lawsuit, the person raising a dispute must send written notice describing the issue and requested resolution to the contact information in Section 39. Both sides will have 30 days after receipt to try to resolve the dispute informally.
If the dispute is not resolved, either side may bring an eligible claim in small claims court or file in a state or federal court located in Oregon. Each side consents to personal jurisdiction in those courts, except where applicable consumer law allows a Participant to bring a claim elsewhere.
Nothing in this section prevents either side from seeking temporary or emergency relief to protect confidential information or intellectual property.
32. GOVERNING LAW
Oregon law governs these Terms, without regard to conflict of law rules, except where another law must apply.
33. ELECTRONIC COMMUNICATIONS
The Participant agrees to conduct enrollment electronically. Electronic communications, notices, records, and agreements may satisfy a requirement that information be provided in writing when permitted by law.
Participants must keep their email address and other contact information current.
34. ELECTRONIC ACCEPTANCE AND RECORDS
By checking the agreement box and completing enrollment, the Participant intends to accept and be bound by these Terms.
Breakout Society may retain the Participant's name, email address, Discord identifier, acceptance date and time, Terms version, transaction identifier, enrollment package, purchase amount, and other reasonable transaction records.
35. CHANGES TO THESE TERMS
The version accepted at enrollment applies to the Participant's purchase. Breakout Society may revise the Terms for future purchases.
A later version does not replace the version an existing Participant accepted unless the Participant agrees, applicable law permits the change, or these Terms expressly allow the specific change.
36. SEVERABILITY
If a provision is found invalid or unenforceable, the remaining provisions remain in effect to the extent permitted by law.
37. NO WAIVER
A failure to enforce a provision on one occasion does not waive the right to enforce it later.
38. ENTIRE AGREEMENT AND ORDER OF TERMS
These Terms, the specific price and payment schedule accepted at checkout, and any policy expressly incorporated into them form the entire agreement regarding the Mentorship.
If a specific checkout term conflicts with a general term in this document, the specific checkout term controls. Advertising, social posts, and informal messages do not change these Terms unless Breakout Society confirms the change in writing.
